Introduction
Welcome to the Mize portal ("Portal"). The Portal allows you, a Mize Customer to review transactions, logs and indices of Mize's products integrated with your system. The Portal is developed and is owned and operated by MST Travel Ltd. (“Company” or “we”, “us”, “our”).
These Terms of Use (the “Terms”) form a binding agreement between you and the Company, and they govern your use of the Portal.
Please read these Terms carefully before using our Portal. By using our Portal, you indicate that you accept and agree to these Terms and to the Privacy Policy, which is an integral part of them. If you do not agree to these Terms in their entirety, you must not use the Portal.
These Terms may be amended from time to time. We will post any change to these terms on our Portal at a reasonable time in advance of the effective date of the change, and we will also make efforts to proactively notify you by email of the changes.

Use of the Portal
Subject to these Terms, we grant you (a representative of a travel agency with which the Company has a commercial agreement) a limited, non-exclusive, worldwide, non-sublicensable, non-transferable and revocable license, to access and use the Portal for the internal business purposes of your organization.
The use of the Portal is subject to the commercial agreement that your organization has executed with the Company, and the fees chargeable and applicable under that agreement.
Registration. Use of the Portal requires prior registration. By registering to the Portal on behalf of a customer with which the Company has a commercial agreement, you represent to us you are authorized to act on behalf of that organization.
You must submit only true, accurate and complete details. Bear in mind that false, incorrect or outdated information may prevent you from registering to the Portal and impair our ability to provide you with our services through the Portal and to contact you.
You are solely responsible and liable for all activities performed with or through your user account. Unless otherwise permitted by us, you are prohibited from selling or transferring your user account in any way, to another user, entity or any third party.
Restrictions . When using our Portal, you must comply with these Terms and adhere to any applicable law. You may not –
- Attempt to circumvent, bypass or deactivate security or protection measures of the Portal;
- Use our Portal in order to develop or create an application, website or any other product of any type or form that is similar to, or competing with, the Portal;
- Attempt to compromise information security on our Portal or in any network or server used by us, attempt to uncover information security vulnerabilities, or attempt to engage in any form of probing, scanning, crawling, robotic navigating or hacking of the Portal;
- Attempt to access the Portal, download any information or use any information in our Portal, in an automated or mechanized process;
- Attempt to activate or access features or capabilities that are undocumented, not ordinarily accessible or deactivated in the Portal;
- Attempt to engage in reverse-engineering, disassembling or decompiling of the Portal;
- Use the Portal in any manner that may give rise to a criminal offense, civil tort, infringement or violation of applicable laws or the rights of any third party;
- Attempt to burden or interfere with the operation of the systems used in the operation of our Portal;
- Attempt to integrate the Portal or any part thereof in any application, webpage, or any other way;
- Use the Portal for or in connection with any action that may encourage or constitute threat, harassment or fraud.
Intellectual property
All rights, title and interest in and to the Portal and any services associated therewith, including all content therein, and all patents, copyrights, trademarks, trade secrets and other intellectual property rights and any goodwill associated therewith, embodied therein or utilized by us in the operation of the Portal, are the exclusive property the Company or our licensors. This includes our databases and the Portal’s design, graphics, computer code, algorithms and “look and feel” (all together: “ Proprietary Content ”).
Other than as expressly permitted in these Terms, you may not, either by yourself or by a third party on your behalf, copy, distribute, display or perform publicly, sublicense, decompile, disassemble, reduce to human readable form, execute publicly, make available to the public, adapt, make commercial use of, process, compile, translate, sell, lend, rent, reverse engineer, combine with other software, modify or create derivative works of, the Proprietary Content or any part thereof, in any way or by any means.
You may not use any name, mark or logo that is similar to our marks and logos. You must refrain from any action or omission that may dilute or damage our goodwill.
Disclaimer of warranty
THE PORTAL AND THE SERVICES ASSOCIATED THEREWITH ARE PROVIDED FOR USE “AS IS” AND “WITH ALL FAULTS”. WE AND OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, ADVISORS, CONSULTANTS, SUBCONTRACTORS AND ASSIGNEES (COLLECTIVELY, OUR “STAFF”) DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE PORTAL, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, CORRECTNESS, NON-INFRINGEMENT, TITLE, COMPATIBILITY, PERFORMANCE, AVAILABILITY, SAFETY, SECURITY OR ACCURACY. YOU ACKNOWLEDGE AND AGREE THAT THE USE OF THE PORTAL IS ENTIRELY, OR TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AT YOUR OWN RISK.
FOR CLARITY, THE ABOVE DISCLAIMERS DO NOT OVERIDE OR SUPERSEDE THE DISCLAIMERS IN THE COMMERCIAL AGREEMEMT BETWEEN THE TRAVEL AGENCY AND THE COMPANY.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR STAFF SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, STATUTORY, INCIDENTAL OR CONSEQUENTIAL DAMAGE, OR ANY SIMILAR DAMAGE OR LOSS (INCLUDING LOSS OF PROFIT AND LOSS OF DATA), COSTS, EXPENSES AND PAYMENTS, EITHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT, OR IN ANY OTHER FORM OR THEORY OF LIABILITY, ARISING FROM, OR IN CONNECTION WITH THE USE OF, OR THE INABILITY TO USE THE PORTAL, OR FROM ANY FAILURE, ERROR, OR BREAKDOWN IN THE FUNCTION OF THE PORTAL.
FOR CLARITY, THE ABOVE DISCLAIMERS DO NOT OVERIDE OR SUPERSEDE THE LIMITATION OF LIABILITY PROVISIONS IN THE COMMERCIAL AGREEMEMT BETWEEN THE TRAVEL AGENCY AND THE COMPANY.
Changes to the Portal Availability
We will make efforts to have the Portal available and operate without errors, on a 24/7 basis. However, the availability, quality and functionality of the Portal depends on various factors, including software, hardware, and communication networks, which are provided by third parties, at their responsibility. These factors are not fault-free, and we do not warrant that the Portal will operate without disruption, errors or interruptions, or that it will be accessible or available at all times, or immune from errors, glitches or unauthorized access.
Changes to the Portal and discontinuation. We may, at any time and without prior notice, change the layout, design, scope, features or availability of our Portal. Such changes, by their nature, may cause inconvenience or even malfunctions. We disclaim any liability with respect to, or in connection with any malfunctions or failures that may result from introducing such changes. If you find a change we introduce into the Portal unacceptable, you may terminate these Terms by sending a written notice to us. Termination will become effective at the end of the calendar month subsequent to the date of receipt of a written termination notice.
We may also permanently or temporarily discontinue the Portal, in which case we will provide you with reasonable prior notice.
Termination of these Terms
We may block the access to and use of the Portal for some or all user accounts associated with your organization, and terminate these Terms in our sole discretion, if:
- You materially or repeatedly breach these Terms;
- We reasonably believe that your use of the Portal causes substantial harm or liability to us or to third parties, e.g. by hacking, spamming, misleading, phishing, and harassing other users;
- We’re required to do so under applicable law or a judicial order.
- The commercial agreement between the Company and the Travel Agency is terminated.
The termination will become effective immediately upon sending a notice to you.
Provisions in these Terms that by their nature should survive termination or expiration of these Terms, will so survive and remain in full force and effect following such termination or expiration.
Miscellaneous
Governing law and jurisdiction. These Terms shall be governed by the laws of the State of Israel, without reference to its conflict of laws rules. The parties agree that the sole and exclusive jurisdiction for any dispute arising out of or relating to the Portal or these Terms, lies within the courts of the Tel Aviv district, Israel.
Relationship. These Terms do not create any agency, partnership, employment, trustee, or other type of legal relationship between you and the Company, other than that of two independent contractual parties.
Entire Agreement. These Terms constitute the entire agreement between you and us concerning the subject matter herein and supersede all prior and contemporaneous negotiations and oral representations, agreements and statements regarding the Portal.
Assignment . You may not assign or delegate these Terms or any of your rights, performances, duties or obligations hereunder. Any purported assignment or delegation, in contravention of the above, will be null and void. In the event of a Company merger, acquisition, change of control or the sale of all or substantially all of our equity or assets, we may, upon notice to you and without obtaining your consent, assign and delegate these Terms, in their entirety, including all of our rights, performances, duties, liabilities and obligations contained herein, to a third party. With such assignment, transfer and delegation, we are irrevocably and fully released from all rights, performance, duties, liabilities and obligations under these Terms.
Completeness; Severability . This Agreement constitutes the entire and complete agreement between the Parties concerning the subject matter herein and supersedes all prior oral or written statements, understandings, negotiations and representations with respect to the subject matter herein. If any provision of this Agreement is held invalid or unenforceable, that provision shall be construed in a manner consistent with the applicable law to reflect, as nearly as possible, the original intentions of the Parties, and the remaining provisions will remain in full force and effect.
No Waiver . Neither party will, by mere lapse of time, without giving express notice thereof, be deemed to have waived any breach, by the other party, of any terms or provisions of this Agreement. The waiver, by either party, of any such breach, will not be construed as a waiver of subsequent breaches or as a continuing waiver of such breach.
